BizBirth Partner Program Terms

These terms govern your participation in the BizBirth Partner Program. By submitting a partner application, or by using a BizBirth referral link, you agree to the terms set out below. BizBirth (Pvt) Ltd. may update these terms, and the version published on this page is the version that applies.
1. Definitions
- Program = the BizBirth Partner Program described on this page.
- Partner = an individual or business approved by BizBirth and issued a unique referral code.
- Referral Link = the unique link issued to a Partner on approval.
- Referred Client = a new customer who reaches BizBirth through a Partner's Referral Link and places a paid order.
- Commission = the referral reward payable to the Partner under clause 3.
2. Eligibility
2.1 The Program is open to freelancers, agencies, consultants, accountants, content creators and community organisers who can introduce genuine clients to BizBirth.
2.2 Partners must be at least 18 years old and must hold an active commercial bank account in Sri Lanka in their own legal name. Payouts are made only to Sri Lankan bank accounts.
2.3 Applications are reviewed manually. BizBirth may approve, request more information, or decline an application at its discretion. A declined applicant may apply again after 30 days.
2.4 A partner account is separate from a customer account. Your referral link becomes active once your application is approved and your payout bank details are on file.
3. Commission and Client Benefit
3.1 Partner commission. You earn a flat LKR 7,500 for each Referred Client, payable on that client's first company formation order only.
3.2 Client benefit. The Referred Client receives LKR 7,500 off their first company formation order, applied automatically at checkout when they arrive through your Referral Link.
3.3 What qualifies. Commission applies to first-time company formation packages only. It does not apply to a client's second or later entity, annual renewals, registered agent renewals, compliance filings, trademark services, tax filing, add-ons purchased separately, or any order paid at a price below the published formation price because of another discount stacking restriction.
3.4 One reward per client. Each client generates at most one Commission, and only one Partner is credited. Where more than one Partner has a claim, the most recent valid click within the attribution window is credited.
3.5 Commission amounts, qualifying services and the client discount may be changed with notice. Changes do not affect Commission already earned on completed orders.
4. Attribution
4.1 Attribution is recorded when a visitor clicks your Referral Link and lasts for 60 days from that first click.
4.2 Attribution relies on the visitor's browser storage. If the visitor clears their browser data, uses a different browser or device, or blocks storage, attribution may be lost and no Commission will be payable.
4.3 Self-referrals are prohibited. You may not use your own link for your own company, nor for an order you pay for yourself, nor through an additional account you control. Such orders earn no Commission and repeated attempts end the partnership.
4.4 Clients who were already in contact with BizBirth, who already hold an account, or who were already quoted before clicking your link may be treated as existing clients and may not qualify.
5. Approval and Payouts
5.1 A Commission is recorded as pending when the Referred Client places a qualifying order, and becomes owed to you once BizBirth marks that order complete.
5.2 Payouts are made by bank transfer to the Sri Lankan account on your partner profile, once your approved balance reaches the minimum payout of LKR 15,000. Balances below that amount carry forward to the next payout run. Each payout is recorded with a bank reference number, visible in your partner dashboard.
5.3 You are responsible for keeping your bank details accurate. BizBirth is not liable for funds sent to details you supplied incorrectly.
5.4 Refunds and cancellations. If a Referred Client's order is refunded, cancelled, reversed or charged back, the related Commission is withdrawn. If it was already paid to you, the amount is deducted from your next payout.
5.5 Taxes. You act as an independent party, not an employee or agent of BizBirth. You are solely responsible for declaring your referral income and for any tax due to the Sri Lanka Inland Revenue Department or any other authority.
5.6 No guaranteed income. Earnings depend entirely on the referrals you generate. Any figure shown in a calculator, example or marketing material is an illustration, not a promise.
6. How You May Promote BizBirth
You may share your Referral Link on your own website, social profiles, newsletters, videos, courses, communities and in direct conversations with people who would genuinely benefit.
You may not:
- Bid on "BizBirth", close variants or misspellings as keywords in Google Ads, Meta Ads or any other paid placement, or run ads that appear to be from BizBirth.
- Send unsolicited bulk messages, including WhatsApp broadcasts, Telegram blasts, SMS campaigns, cold email lists or social media spam.
- Describe yourself as a BizBirth employee, agent, attorney, accountant or tax adviser, or state that you file on our behalf.
- Give legal, tax or immigration advice in BizBirth's name, or promise specific approvals from the IRS, state authorities, banks or payment providers.
- Make false claims about pricing, timelines, refunds, guaranteed income or what is included in a package.
- Register domains, social accounts, pages or apps that use the BizBirth name or logo in a way that suggests ownership or an official channel.
- Offer unauthorised cash-back, rebates or incentives in place of the published client benefit, or post the link on coupon, cashback or deal aggregator sites.
7. Brand Use
7.1 BizBirth grants you a limited, non-exclusive, revocable permission to use the BizBirth name and logo solely to promote the services while you remain an active Partner.
7.2 You may not alter the logo, combine it with other marks, or use it in a way that implies partnership beyond referral. All rights in the BizBirth brand remain with BizBirth (Pvt) Ltd.
7.3 Permission ends automatically when your participation in the Program ends, and you must remove BizBirth branding from your channels on request.
8. Suspension and Termination
8.1 Either side may end participation at any time, with or without reason, by written notice to the other. Commission already owed on completed orders remains payable.
8.2 BizBirth may suspend a referral link, hold a payout, withdraw unpaid Commission or close a partner account where it reasonably believes there has been fraud, artificial or automated clicks, fake or duplicate orders, self-referral, misleading promotion, or any breach of these terms.
8.3 Where a partner account is closed for breach, unpaid Commission linked to the breach is forfeited.
9. Confidentiality and Data
9.1 Your dashboard shows aggregate referral activity only. You will not receive a Referred Client's personal details, documents or order contents.
9.2 Any non-public information BizBirth shares with you, including pricing arrangements and internal processes, must be kept confidential.
9.3 BizBirth processes your application and payout information in line with its Privacy Policy.
10. Limitation of Liability
BizBirth's total liability to you under the Program is limited to the Commission properly owed to you. BizBirth is not liable for lost attribution caused by a visitor's browser or device, for lost profits or expected earnings, or for costs you incur promoting the services.
11. General
11.1 These terms are read together with the BizBirth Terms of Service, Refund Policy and Privacy Policy. Where the Program is concerned, these terms prevail.
11.2 These terms are governed by the laws of Sri Lanka, and the courts of Sri Lanka have jurisdiction.
