1. Definitions

• “Service” = US LLC formation, EIN procurement, Stripe onboarding.

• “Client” = Purchaser of BizBirth services.
  
  

2. Service Scope

2.1 BizBirth provides:

• Preparation/submission of state LLC filings

• IRS EIN acquisition

• Stripe account facilitation

• Registered agent services (if purchased)

2.2 Not Included:

• Legal/tax advice (unless explicitly stated)

• Guaranteed approval by third parties (banks, Stripe, etc.)
  
  

3. Client Obligations

3.1 Client must:

• Provide accurate, complete documentation

• Respond to compliance requests within 48 hours

• Verify eligibility for services (e.g., non-restricted business type)
  
  

4. Fees & Payments

4.1 All fees are non-refundable except under Refund Policy.
4.2 Chargebacks result in immediate service suspension.

5. Refund Policy

5.1 Full Refund Conditions:

• Failure to deliver EIN within maximum of 5-day timeframe due to BizBirth error

• Incorrect LLC filing due to BizBirth negligence

5.2 Non-Refundable Scenarios:

• Rejections/delays by government agencies (IRS, state offices)

• Payment processor decisions (Stripe, PayPal, banks)

• Client-provided inaccuracies or late documentation
  
  

6. Limitation of Liability

6.1 Maximum liability = Total fees paid for affected service.
6.2 BizBirth not liable for:

• Third-party service interruptions

• Client’s tax/legal compliance

• Financial losses from payment processor decisions
